1. Overview
1.1 The Hero Public Safety Ecosystem (the “Platform”) is operated by Hero Safety, Inc. (“Hero”). Hero offers the Platform, including all information, tools and services available from the Platform to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.
1.2 We invite all users of the Platform to carefully review these Terms of Use (“Terms”) and the Privacy Policy before continuing to access or use the Platform. Please click on the link to our Privacy Policy and review it. By accessing or using the Platform, you agree to be legally bound by these Terms. If you do not accept these Terms, you are not permitted to use the Platform and you must discontinue access or use of the Platform. These Terms apply to you and to all users of the Platform, including without limitation users that are browsers, vendors, customers, merchants, and/ or contributors of content. BY CLICKING “I AGREE”, COMPLETING THE ONBOARDING PROCESS, OR ACCESSING OR USING THE PLATFORM, YOU CONFIRM TO US THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THESE END USER TERMS AND CONDITIONS.
1.3 By agreeing to these Terms, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority in your state or province of residence and you have given us your consent to allow any of your minor dependents to use this Platform.
1.4 These Terms provide for the use of arbitration on an individual basis to resolve disputes, rather than jury trials or class actions, and limit the remedies available to you. You can opt out of this agreement to arbitrate by contacting legal@herosafety.com within 30 days of first accepting these Terms and stating that you (include your first and last name) decline this arbitration agreement.
1.5 The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.
2. Your access to the Platform
2.1 Subject to an active subscription to the Platform being in effect with your employer, and subject to your adherence to these End User Terms and Conditions, Hero will endeavor to provide the Platform to you with a reasonable level of skill and care. Your access to and use of the Platform is conditioned upon you being granted such access and use rights by a subscriber to the Platform (“Subscriber”). The decision to grant or revoke your access is at the discretion of the Subscriber. Your access to and use of the Platform is also conditional upon the Subscriber’s compliance with its agreements and payment of relevant fees. Upon termination of the Subscriber’s rights to use the Platform, your use of the Platform will automatically terminate.
2.2 You acknowledge that we or the Subscriber may restrict or terminate your access to or use of all or part of the Platform for any reason at any time. For example, a breach or violation of any of the Terms may result in an immediate termination of your access to and use of the Platform, however such breach or termination is not required in order for your access to the Platform to be terminated.
2.3 You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Platform, use of the Platform, or access to the Platform or any contact on the Platform through which the service is provided, without express written permission by us. You will not use, export, import, or transfer the Platform except as authorized by U.S. law, and any other applicable laws.
2.4 You agree not to, directly or indirectly: reverse engineer, decompile, disassemble or otherwise attempt to discover the source code, object code or underlying structure, ideas, know-how or algorithms relevant to the Platform or any software, documentation or data related to the Platform (“Software”); modify, translate, or create derivative works based on the Platform or any Software (except to the extent expressly permitted by Hero or authorized within the Platform); use the Platform or any Software for timesharing or service bureau purposes or otherwise for the benefit of a third party; or remove any proprietary notices or labels.
3. Changes
3.1 We reserve the right at any time to modify or discontinue the Platform (or any part or content thereof) without notice at any time. We will not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of the Platform. We undertake no obligation to update, amend or clarify information in the Platform, except as required by law. No specified update or refresh date applied in the Platform should be taken to indicate that all information in the Platform or on any related service has been modified or updated.
3.2 There may be periodic changes to these Terms and any other agreements governing your use of the Platform, which may be communicated to you via the Platform, by email or by way of update on Hero’s website at www.gethero.com. Your continued use of the Platform implies your consent to those updated terms. If you do not accept the terms, you must discontinue your use of the Platform immediately and contact us to request suspension of your account.
3.3 We may offer new services and/or features through the Platform. Such new features and/or services will also be subject to these End User Terms and Conditions.
4. Third Party Services and Links
4.1 We may provide you with access to third-party tools over which we have no control nor input. You acknowledge and agree that we provide access to such tools “as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools. Any use by you of third-party tools is entirely at your own risk and discretion and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s).
4.2 Links on the Platform may direct you to third-party sites that are not affiliated with us. We are not responsible for examining or evaluating their content or accuracy and we do not warrant and will not have any liability or responsibility for any third-party materials or sites, or for any other materials, products, or services of third parties. Complaints, claims, concerns or questions regarding third-party sites should be directed to the third party.
5. Your compliance with laws and policies
You may access and use the Platform only in compliance with all applicable laws and regulations. You are responsible for all activities that occur under your account. You must not upload viruses or malicious code or do anything that could disable, overburden or impair the proper working or appearance of the Platform.
6. Data
You may not access or collect data from the Platform in an automated manner or attempt to access any data you do not have permission to access.
7. Feedback
We encourage and welcome your submission of feedback about your experience with the Platform ("Feedback"). The submission of any Feedback is at your own risk and we have no obligations with respect to such Feedback. You grant to us a royalty-free, worldwide, transferable, sublicensable, irrevocable, perpetual license to use or incorporate into the Platform and otherwise use and exploit any Feedback in any manner, without restriction and without any compensation to you. You represent and warrant that you have all rights necessary to submit the Feedback.
8. Term and termination
Your use of the Platform will automatically terminate upon the termination of your Subscriber’s subscription or when we receive instructions by your Subscriber to terminate your use. In addition, we may suspend or terminate your rights to use the Platform (including your account) at any time for any reason at our sole discretion, including for any use of the Platform in violation of these User Terms. All provisions of these Terms which by their nature should survive, will survive termination.
9. Personal Information
10.1 Your use of the Platform and the information you provide to us there is subject to our Privacy Policy, incorporated herein by reference, which governs our collection and use of data submitted to us through the Platform.
10. Limitation of liability
10.1 TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA (INCLUDING YOUR CONTENT), USE, GOOD-WILL, OR OTHER INTANGIBLE LOSSES, WHETHER OR NOT WE HAD BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, ARISING FROM OR RELATING TO THE PLATFORM (INCLUDING YOUR AND YOUR USERS’ USE OF THE PLATFORM), OR THESE TERMS, WHETHER BASED ON WARRANTY, COPYRIGHT, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER THEORY OF LIABILITY.
10.2 TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL OUR AGGREGATE LIABILITY REGARDING THESE TERMS OR THE PLATFORM, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EXCEED $100.00.
10.3 THE LIMITATIONS OF LIABILITY ABOVE APPLY TO THE FULLEST EXTENT ALLOWED BY LAW AND WILL NOT APPLY TO LIABILITY FOR (I) DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE OR (II) ANY INJURY CAUSED BY OUR FRAUD OR FRAUDULENT MISREPRESENTATION.
10.4 THESE LIMITATIONS OF LIABILITY ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN HERO AND YOU.
11. Indemnification
You agree to indemnify, defend and hold harmless Hero and our affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of these Terms or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.
12. Severability
In the event that any provision of these Terms is determined to be unlawful, void or unenforceable, such provision will nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion will be deemed to be severed from these Terms, such determination shall not affect the validity and enforceability of any other remaining provisions.
13. Termination
The obligations and liabilities of the parties incurred prior to the termination date will survive the termination of this agreement for all purposes.
These Terms are effective unless and until terminated by either you or us. You may terminate these Terms at any time by notifying us that you wish to cease using the Platform and have your account suspended.
If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to the Platform.
Entire Agreement
The failure of Hero to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. These Terms and any policies or operating rules posted by us on this site or in respect to The Service constitutes the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms).
Any ambiguities in the interpretation of these Terms shall not be construed against the drafting party.
Governing Law
These Terms and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the State of Delaware without regard to its conflict of laws provisions.
Disputes
Any dispute, conflict, or claim arising from this agreement will be resolved by arbitration to take place in Delaware before a single arbitrator under Delaware law.
